These Terms & Conditions of Use (the "Terms") constitute a legally binding agreement between the user ("User", "Client" or "Professional") and RAMADITA ("Ramadita" or the "Platform") governing access to and use of the website, mobile applications and digital intermediation services provided by Ramadita.
By accessing, browsing or using the Platform, you represent that you have read, understood and accepted these Terms and our Privacy Policy. If you do not agree, you must immediately stop using the Platform.
1.1. Independent Marketplace: Ramadita operates solely as a digital marketplace for architecture, design and construction adapted to the Caribbean and Dominican Republic context. Its sole function is connecting people interested in remodeling or building properties in the Dominican Republic ("Clients") with duly validated architects, engineers, builders and designers ("Professionals").
1.2. No Construction Contractual Relationship: Ramadita is not a construction company, contractor, architecture firm, or works supervisor. Ramadita does not execute construction projects, sell materials, perform appraisals or issue technical rulings. Any agreement, oral or written contract, quote or negotiation between a Client and a Professional is the exclusive responsibility of those parties. Ramadita is not a party, guarantor or agent of any contractual relationship arising from use of the Platform.
1.3. Independence of the Parties: Use of the Platform does not create any partnership, franchise, joint venture, employment, mandate or agency relationship between Ramadita and the Professionals or Clients.
2.1. Onboarding and Verification: To appear as an active or verified professional on the Platform, the Professional agrees to onboard through the prescribed registration flow (including import of verified Google Places profiles). To activate public status and receive high-quality leads, the Professional must provide truthful legal information:

Responsibility for Information: The Professional is solely civilly, criminally and administratively responsible for holding all licenses, construction permits, civil liability insurance and regulatory certifications required by Dominican law to perform the work they advertise. Ramadita reserves the right to audit and immediately suspend any profile providing false, inaccurate or outdated information.
2.3. Client & Lead Management: The Professional commits to high service standards, ideally responding to validated leads from the "Guided Assistant" or Wizard within forty-eight (48) hours. Using client contact data for harassment, spam or any purpose beyond the requested quote is strictly prohibited.
3.1. Use of the Guided Assistant (Wizard): The Client uses Ramadita's interactive tools to structure specifications, location and estimated cost ranges for remodeling or construction projects, and represents in good faith that the data provided (including land availability or financial status) is truthful.
3.2. Financial Literacy & Reference Costs: Cost ranges per space (kitchens, façades, terraces, etc.) shown on the "Inspiration Wall" and Platform comparator are reference estimates based on standard finishes and obra gris in the Dominican Republic. These are not binding commercial offers, legal contracts, or final quotes from any Professional, since real costs for materials, quartz or granite countertops, municipal permits and labor vary with the project's final technical specifications.
3.3. Remote-Risk Mitigation: Ramadita implements the "Diaspora Trust Index" by verifying Professionals' legal credentials. Nevertheless, Clients (especially those residing abroad) are strongly urged to perform their own contractual due diligence, physical inspections, and to use legal, secure payment channels when formalizing individual contracts with selected Professionals.
4.1. Visual Content License: By uploading images, plans, renders or photographs to their Builder Portal Gallery, the Professional grants Ramadita a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate and distribute such content on the Inspiration Wall, digital ad campaigns (Meta Ads, Google), social media and internal marketplace flows.
4.2. Content Permanence: Following Houzz's international operating model, to preserve Platform data integrity, Client UX, and to avoid broken links across the inspiration visual system, images assigned to the Inspiration Wall may remain indexed indefinitely, even if the Professional suspends, cancels or deletes their account.
4.3. Authorship Warranty: The Professional warrants that they are the legitimate author of all visual content uploaded, or that they hold the necessary rights and authorizations from the original photographers, designers or Clients. Uploading third-party copyrighted images or content downloaded from the internet without explicit authorization is strictly prohibited.
5.1. Feedback Transparency: Clients who interacted with or hired a Professional through Ramadita may submit ratings, reviews and comments about performance, punctuality and honesty. Opinions must be based on real, verifiable experiences.
5.2. No Fake or Defamatory Reviews: Rating manipulation through fake reviews by the Professional, family, or direct competitors is prohibited. Ramadita reserves the right to remove comments that violate ethical norms, contain offensive language or constitute unjustified defamation under applicable Dominican law.
6.1. Disclaimer of Technical Warranties: Ramadita provides the Platform "as is" and "as available". To the maximum extent permitted by applicable law (including Dominican Consumer Protection Law No. 358-05), Ramadita expressly disclaims all warranties, express or implied, regarding:

Cap on Financial Indemnity: Under no circumstance shall Ramadita, its directors, developers or affiliates be liable for indirect, incidental, punitive damages, lost profits or financial losses suffered by the parties as a consequence of private construction contracts entered into between Client and Professional. Ramadita's aggregate liability for any technical claim linked to use of the software infrastructure is strictly limited to the total amount the user paid to the Platform in usage fees or subscriptions during the three (3) months preceding the event giving rise to the claim.
7.1. Direct Mediation Attempt: In case of conflict between a Client and Professional, both parties commit to exhausting direct good-faith negotiation. Ramadita may, at its sole discretion and without legal obligation, act as informal mediator by providing messaging or lead records stored in its databases to clarify terms discussed through the Platform.
7.2. Governing Law: These Terms are governed in their entirety by the laws of the Dominican Republic, in particular the Dominican Civil Code, Consumer Protection Law No. 358-05, and Law No. 126-02 on Electronic Commerce, Documents and Digital Signatures.
7.3. Competent Jurisdiction: For any dispute arising from use of the Platform software that cannot be amicably resolved, the parties grant exclusive jurisdiction to the courts of the Distrito Nacional, Dominican Republic.
Ramadita reserves the right to modify, update or reform these Terms at any time to adapt to new legal regulations, brand updates or marketplace dynamics. For material changes, users will be notified via visible alerts inside the portal or by email. Continued use of the Platform after such updates constitutes tacit acceptance of the new Terms.
